Welcome to Intersites, Inc. (“Intersites,” “we,” “us,” or “our”). Founded in 1995 by Eric Weidl, Intersites operates as Your Guide to All Things Web. We provide bespoke web development, mobile application engineering, digital strategy, eCommerce systems, and managed web hosting. Please review these Terms & Conditions (“Terms”) carefully before exploring our site or initiating a project consultation. By accessing or using intersites.com, you agree to be bound by these Terms and our companion Privacy Policy.
Agreement to Terms & Relationship to Client Contracts
These Terms constitute a legally binding agreement between you (whether an individual website visitor, corporate representative, prospective client, or vendor) and Intersites, Inc.
Relationship to Master Services Agreements (MSAs): These public Terms govern exploratory use of our website, initial project scoping consultations, and public interactions. When you formally retain Intersites to design, architect, engineer, or maintain custom software, that engagement will be governed by a separate, bilateral written contract—such as a Master Services Agreement (MSA), Statement of Work (SOW), or Service Level Agreement (SLA). In the event of any direct conflict between these public Terms and a fully executed MSA or SOW signed by an officer of Intersites, the terms of the executed MSA or SOW will control.
Professional Services & The PARIS Process
Intersites guides businesses across unfamiliar digital territory. Our professional engineering and advisory capabilities are structured around our proven five-phase PARIS Process:
- Plan (Phase 1): Strategic architecture, business logic mapping, technical specifications, database schema design, and project roadmaps.
- Aesthetics (Phase 2): User experience (UX), responsive interface design (UI), brand cohesion, wireframes, and design systems.
- Realization (Phase 3): Clean, standards-compliant front-end and back-end software engineering, mobile application development, API integrations, and quality assurance.
- Inform (Phase 4): Audience acquisition, technical search engine optimization (SEO), conversion telemetry, and Google Analytics configuration.
- Sustain (Phase 5): Proactive managed hosting, infrastructure monitoring, software dependency updates, security hardening, and Web Presence Management.
Informational content, case study summaries, and strategy articles published on this website are provided solely for general educational and promotional purposes and do not constitute formal architectural advice or binding commitments.
Intellectual Property Rights
Software engineering involves distinct tiers of intellectual property. We maintain strict clarity regarding the ownership of website assets, client deliverables, background technology, and third-party libraries:
A. Intersites Proprietary Property
All elements of intersites.com—including but not limited to text, graphics, trademarks, trade names (“Intersites,” “Your Guide to All Things Web,” “PARIS Process”), custom stylesheets, design systems, illustrations, and proprietary toolkits—are owned by Intersites, Inc. and are protected by United States and international copyright, trademark, and unfair competition laws. You may not copy, reproduce, scrape, mirror, or create derivative works from our site without prior written authorization.
B. Custom Client Deliverables & Code Ownership
For commissioned development projects, ownership of bespoke software deliverables is structured to protect both our clients’ commercial investments and our core toolsets:
- Client Custom Work Product: Upon full and final payment of all invoices due under the governing Statement of Work, the client receives ownership (or an irrevocable, perpetual, exclusive commercial license, as specified in the SOW) of the unique custom source code, graphic designs, and database structures developed specifically for that client.
- Intersites Background Technology: Intersites retains all ownership of pre-existing software libraries, utility functions, boilerplate frameworks, developer tools, algorithms, and technical know-how developed prior to or independently of the client engagement (“Background Technology”). To the extent Background Technology is embedded within a client deliverable, Intersites grants the client a non-exclusive, perpetual, worldwide, royalty-free license to use that technology solely as integrated into the deliverable.
- Open-Source Software (OSS): Modern software architecture utilizes reputable open-source libraries (e.g., standard runtime packages, utilities). Any open-source components embedded within deliverables remain subject to their respective open-source licenses (such as MIT, Apache 2.0, or BSD).
Clients retain complete ownership of all trademarks, proprietary logos, copy, database records, and media supplied to Intersites. The client represents and warrants that it holds all necessary rights, licenses, and permissions to provide such materials for use in project execution.
Acceptable Use & Security Prohibitions
You agree to use intersites.com and our communication channels solely for lawful purposes. As a technology and cybersecurity-conscious organization, we strictly prohibit:
- Security Exploitation: Attempting to probe, scan, or test the vulnerability of our systems, networks, servers, or firewalls, or breaching authentication or authorization mechanisms without explicit written authorization from Intersites management.
- Malicious Code: Introducing viruses, trojans, worms, logic bombs, ransomware, or any other technologically harmful payload into our servers, consultation forms, or client repositories.
- Automated Scraping & Data Mining: Using automated bots, spiders, crawlers, or screen scrapers to harvest data, text, or portfolio imagery from intersites.com for competitive intelligence or unauthorized machine learning model training without prior written consent.
- Disruption of Service: Conducting Denial of Service (DoS), Distributed Denial of Service (DDoS), packet flooding, or any activity that places an unreasonable infrastructure burden on our hosting environments.
- Misrepresentation: Impersonating Intersites personnel, another client, or any entity, or forging network headers or protocol identifiers in communications directed to us.
Project Scopes, Estimates & Change Management
Custom software engineering is an iterative, precision discipline. To ensure mutual clarity, we adhere to formal engineering standards:
- Preliminary Estimates Are Non-Binding: Ballpark estimates, preliminary budget ranges, and consultative timelines discussed during discovery meetings or generated via site forms are non-binding estimates. Binding commitments are established only in formal, executed Statements of Work.
- Scope of Work & Functional Specifications: Each development project is governed by a detailed SOW delineating technical requirements, user stories, milestone deliverables, acceptance criteria, and payment schedules.
- Change Management: Adjustments to project scope, additional feature requests, architectural refactoring requested by the client, or modifications necessitated by changes in external APIs require a written Change Order detailing the associated impact on budget and delivery milestones.
- Client Cooperation & Approvals: Software development depends on timely feedback. Clients agree to provide required assets, feedback, and user acceptance testing (UAT) sign-offs within agreed-upon sprint cycles.
Third-Party Platforms, APIs & External Dependencies
Modern digital ecosystems rely on third-party integrations (e.g., payment gateways such as Authorize.Net or Stripe, mapping services, social authentication, SMS/email relays, ERP software, and cloud CDNs):
- Independent Services: Intersites integrates third-party APIs using documented standards. However, third-party providers operate independently. We do not control and are not responsible for their service availability, upstream breaking changes, rate limits, pricing revisions, or terms of service.
- External Outages: Intersites is not liable for disruptions, transactional failures, or delays caused by third-party payment gateways, telecommunication carriers, or upstream cloud infrastructure providers.
- Outbound Web Links: intersites.com may link to third-party client websites, case study URLs, or partner portals. These links are provided for informational demonstration only; Intersites does not endorse or assume liability for third-party content.
Managed Website Hosting & Service Availability
For clients enrolled in our Managed Website Hosting & Web Presence Management services:
- Service Availability: We strive to maintain continuous service availability through tier-1 data center redundancy, proactive server monitoring, and defensive security postures. Specific service level targets (such as 99.9% uptime) and response-time tiers are governed by the applicable SLA addendum.
- Scheduled Maintenance: Routine kernel updates, security patching, and server maintenance are scheduled during low-traffic windows (typically overnight or weekend hours). Where feasible, clients are notified in advance of anticipated maintenance windows.
- Backups & Disaster Recovery: Automated off-site backups are maintained pursuant to client hosting agreements. Intersites maintains automated recovery protocols to restore systems in the event of hardware or data center failure.
- Force Majeure: Intersites is not liable for performance failures resulting from acts of God, war, civil unrest, utility outages, major fiber cuts, distributed global DNS attacks, or other catastrophic events beyond our reasonable control.

You hereby irrevocably submit to the personal and exclusive jurisdiction of such courts and waive any objection regarding inconvenient forum.
Severability, Entire Agreement & Updates
- Severability: If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and all remaining provisions will continue in full force and effect.
- Entire Agreement: These Terms, together with our Privacy Policy and any project-specific executed contracts, constitute the entire agreement between you and Intersites regarding your use of this website.
